1、 Rights and Obligations of Party A (Lidi Network):
1. The first party provides international freight forwarding services to the second party, including price consultation, cargo transportation, tracking of cargo information, and collaborative handling of problematic items.
2. When Party A receives the goods, Party B shall fill out the "International Express Waybill" or the customer shall place the order on our company's system. The relevant terms on this list shall have the same effect as this agreement. Party B shall verify the signature in block letters. If any economic losses or liabilities are caused by verification errors or non signature, Party B shall bear the responsibility.
3. Party A shall not be liable for any delay, damage, or loss of goods caused by force majeure, customs inspection, tight flight space, holidays, natural disasters, earthquakes, etc.
4. Any loss or damage caused by the fault of Party A or international courier agents (DHL, FEDEX, UPS, TNT, etc.) shall be treated according to the declared value of the goods, with a maximum compensation of USD 100 per package and RMB 100 per document. Claims shall be processed within the official effective acceptance time and procedures, and Party B shall comply with the quotation remarks used by Party A. If Party B provides information outside the acceptance time, Party A has the right to refuse to accept.
5. The first party has the right to open the seal and inspect the goods shipped by the second party for any prohibited goods. If the number of inner packaging of the second party's goods does not match the list or the packaging is not standardized, resulting in damage, loss or delay during transportation, the first party shall not be responsible.
2、 Rights and Obligations of Party B (Customer):
1. The second party shall not entrust the first party to consign counterfeit brands, cigarettes, pure batteries, motors, powders, and related "prohibited goods" stipulated by the International Air Cargo Transport Bureau. Once found, the first party has the right to seize or confiscate the second party's goods, and pay a penalty ranging from 3000 to 50000 yuan per ticket to the first party. The second party shall unconditionally bear all relevant responsibilities and consequences; If it constitutes a criminal or criminal act, Party B shall also bear all legal responsibilities.
2. When Party B delivers the package to Party A, Party B shall provide Party A with a detailed list of packages stamped with Party B's signature/company seal, filled out express waybills, wooden box cargo guarantees, and non document international packages. Party B shall provide invoices and necessary customs clearance materials during transportation.
3. The second party shall provide the invoice to the first party while also providing the customs code, declared value (limited to US dollars), and detailed manufacturer information. If the second party fails to provide or provides incorrect or false information, all responsibilities arising from it shall be borne by the second party.
4. The additional fees such as return fees, customs duties, customs fines, handling fees, storage fees, Hong Kong import fees, remote fees, address change fees, etc. arising from the recipient's refusal to pay customs duties and other destination fees, refusal of goods or refusal of goods to enter the destination country (region), shall be unconditionally borne by Party B.
5. All costs incurred by international express delivery agents (DHL, FEDEX, UPS, TNT, etc.) rejecting the goods due to their own reasons, and Party B confirming that Party A is willing to test flush the goods, shall be borne by Party B.
6. The second party has the obligation to keep the account and password opened by the first party well. If the second party leaks the account, is stolen or lent to a third party for use, all expenses and economic losses incurred shall be borne by the second party.
7. At the same time as the second party delivers the goods to the first party, the freight and additional fees incurred by the goods shall be paid in cash. The second party shall not owe the relevant fees to the first party for any reason. Otherwise, the first party has the right to retain the consigned goods. If the second party fails to pay within one week of the first party's demand for payment, the first party has the right to dispose of the retained goods (including discount compensation, sale, auction, etc.); If the shipping fee needs to be invoiced, an additional 6% tax point will be added.
8. When opening an account, Party B shall provide Party A with a valid business license, ID card, address, legal representative/finance/business/customer service/contact information. Ensure authenticity and credibility. During the cooperation period, if there are any changes in the information provided by Party B, Party A shall be notified in a timely manner. If the information is incorrect or false, Party A has the right to pursue relevant legal responsibilities.
3、 Other
1. If there are any matters not covered in this agreement, both parties shall negotiate and supplement them, and the relevant supplementary agreements shall have the same legal effect as this agreement. If the negotiation fails, a lawsuit may be filed with the people's court in the place where Party A is located.
2. This agreement shall come into effect on the date of shipment of the goods by Party B. The valid text of this agreement shall be in duplicate, with each party holding one copy, and shall remain valid for a long time.
